APPLICATION FOR ARTISTS

If you are successful in attracting large numbers of votes Sicpuppy Records Limited are likely to want to invest in your future.

We therefore invite all bands and artists to enter into an initial 12 month exclusive period (with an option to extend for a further 12 months) during which to enter into recording and/or publishing arrangements with you, (This may take the form of a “first negotiating” and “last matching”).

Please read the below terms and conditions setting out our proposed arrangements.

TERMS AND CONDITIONS

READ CAREFULLY BEFORE COMPLETING APPLICATION

These terms and conditions set out what is agreed between us in relation to your application to be considered for inclusion of artists on the band pages of the Sicpuppy Records site. These terms and conditions together with the relevant terms and policies contained within our website at http://www.sicpuppyrecords.com (“our Site”) constitute a legal agreement between you and us.

You agree to submit to us for consideration a recording featuring your performance in MP3 format together with artist’s photographs, and biographies.

By submitting material to us including (but not limited to) digital audio files, text, graphics, photographs, artwork, literary work, musical works, sound recordings (the “Material”) you agree to grant us a perpetual non-exclusive licence and all the necessary rights (including without limitation copyright and all those rights specified in Section 191 A(1) of the Copyright, Designs and Patents Act 1988) throughout the world for duration of copyright to reproduce, edit, change, copy, adapt and otherwise make the Material available on the Site. We reserve the right not to exercise any of or any part of the above rights in the Material at our sole discretion and without liability.

The decision as to the suitability of the Material for inclusion on the Site will be made solely by Sic Puppy Records Limited whose decision will be final.

You must be at least 14 years old at the date of completion of this form. You will provide us upon our request for the same with supporting documentation in order to substantiate this.

All personal details and/or information given in your application either in this form or otherwise must be truthful, accurate and in no way misleading.

You agree that for a period of 12 months (the “Term”) commencing on the date of this agreement Sic Puppy Records Limited will have a so-called “First Negotiating” and “Matching Right” in relation to your management, recording and publishing arrangements. In addition you irrevocably grant solely and exclusively to Sic Puppy Limited an option to extend the Term for a further period of 12 months (which Sic Puppy Limited may exercise by notice in writing to you at any time before the expiry of the Term).

At any time during the Term either you or we may start discussions with a view to your entering into a management agreement and/or a recording agreement and/or a publishing agreement (the “First Negotiation Right”). You will not negotiate with any third party before negotiations the subject of the First Negotiation Right with Sic Puppy have taken place and until such time it has become clear that such negotiations will not result in any further immediate agreement.

If the First Negotiation Right does not lead to any agreement, you may negotiate with third parties in which event you will send us a copy of any offer you receive from a third party and Sic Puppy will have 30 days from receipt of that notice to match the commercial terms of that offer (the “Matching Right”) following which you and we will use all reasonable efforts to conclude a written contract as soon as possible after that date.

If we do not exercise the Matching Right then you will be entitled to enter into the agreement offered by the third party but on no less favourable terms to you than those which are the subject of the Matching Right.

In connection with all negotiations which are the subject of the First Negotiating Right and the Matching Right Sic Puppy we and you will act reasonably and in good faith towards each other.

If at the end of the Term and following such good faith negotiations we have been unable to conclude a management agreement and/or record agreement and/or publishing agreement,in recognition and in consideration of the services we have provided to you, you agree that you will pay or procure the payment to Sic Puppy a royalty of five percent (5%) (the“Royalty”) of all royalties and advances paid or credited to you (or any company controlled by you) pursuant to any publishing or recording agreement you enter into within [18 months] following the termination of our negotiations.

You will arrange for each company you enter into an agreement with in respect of your publishing or recording arrangements to enter into a written agreement with Sic Puppy where they agree to account to us directly for the Royalty.

You warrant that you are not a party to a recording agreement or publishing agreement and are under no contractual or other obligations which are inconsistent with this application.

You warrant that you are not party to an existing (or former) management agreement other than as disclosed below.

You warrant that the Material and the use of the Material by us will not infringe the copyright or other rights, moral rights and rights of privacy and confidence of any third party; will not be obscene, blasphemous, defamatory or otherwise illegal or unlawful, or in any way incite racial hatred; that it does not contain and will not produce any known viruses or harmful codes that could damage our systems or data and that it does not include any so called “sampled” extracts from any third party sound recording or include or utilize any extracts from any literary or other copyright work not controlled by you; and comply and adhere to our website terms and conditions and policies.

You will indemnify us against any loss, damages, costs, expenses (including legal fees on a full indemnity basis) or other claims arising from a breach by you of these terms and conditions.

We shall not be liable to you by reason of any representation and all warranties, conditions or other terms implied by law are excluded to the fullest extent permissible. We shall not be liable for any loss or goodwill or reputation, profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by our negligence, that of our servants or agents or otherwise) which arise out of or in connection with the provision of the Material.
